Terms of Service

1. Introduction and Acceptance

These Terms of Service (“Terms”) govern your access to and use of the Aimade website, services, and APIs (collectively, the “Service”) located at aimade.tech. By accessing or using the Service, you agree to be bound by these Terms, our Privacy Policy, and any additional policies referenced herein. If you do not agree, you must not use the Service.

2. Definitions

For purposes of these Terms, the following definitions apply:

  • “Aimade”, “Company”, “we”, “us”, or “our” – the entity operating the Service.
  • “User”, “you”, or “your” – any individual or entity that accesses or uses the Service.
  • “Membership” – a paid subscription tier (Scout, Operator, Pro, Enterprise) that grants access to premium features.
  • “API” – the programmatic interface that allows Members to retrieve Skills Index data.
  • “Skills Index” – the searchable database of AI agent skills, including safety ratings, filters, and metadata.

3. Account Registration and Security

To access paid features, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your password and for all activities that occur under your account. You must notify us immediately of any unauthorized use or security breach.

4. Membership Plans and Pricing

We offer four Membership tiers, each with distinct features:

  • Scout – $4.99 per month. Includes basic access to the Skills Index, limited search filters, 100 API calls per month, and community forum participation.
  • Operator – $29.99 per month. Includes all Scout features plus advanced filtering, 7-tier safety analysis, API access (up to 5,000 calls per month), webhook integrations, priority email support, and CSV/JSON exports.
  • Pro – Coming Soon. Includes all Operator features plus unlimited API calls, custom safety rules, dedicated support, and SLA guarantee.
  • Enterprise – $99 per month. Includes all Pro features plus custom integrations, dedicated account manager, SLA & compliance reports, and on-premise deployment option.

All prices are in U.S. dollars and are subject to applicable taxes. We reserve the right to modify pricing with 30 days’ notice posted on the Site.

5. Billing and Payment

All payments are processed securely through Stripe. By providing payment information, you authorize us to charge the applicable subscription fee on a recurring monthly basis. Payments will be attempted on the first day of each billing cycle. If a payment fails, we will retry for up to 5 days and may suspend or terminate your Membership if the issue is not resolved.

6. Cancellation and Refunds

You may cancel your Membership at any time via your account dashboard. Cancellations become effective at the end of the current billing period; you will not be charged for subsequent periods. Refunds are not provided for partial months, except where required by law or at our sole discretion for service outages lasting more than 48 hours.

7. Free vs. Paid Content

The Site contains both free and paid content. Free content is available to all visitors without a Membership. Paid content, including advanced Skill Index features and API access, is restricted to active Members. We reserve the right to modify the classification of any content.

8. Intellectual Property Rights

All content, designs, code, and data provided through the Service (excluding User-generated content) are the exclusive property of Aimade or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works, or otherwise exploit any portion of the Service without our prior written consent, except as expressly permitted under these Terms.

9. User Conduct and Acceptable Use

You agree not to:

  • Violate any applicable law, regulation, or third-party right.
  • Upload, post, or transmit any malicious code, viruses, or harmful content.
  • Scrape, mine, or otherwise extract large volumes of data from the Skills Index beyond the API limits.
  • Attempt to bypass security measures, including rate limits or authentication mechanisms.
  • Use the Service to develop or train models that replicate the Skills Index for commercial resale without a separate license.

10. API Terms of Use

API access is granted only to Scout, Operator, and Enterprise Members. The following conditions apply:

  • Rate Limits: Scout Members may make up to 100 API calls per month; Operator Members may make up to 5,000 API calls per month; Pro and Enterprise Members have unlimited calls but must not exceed 1,000 calls per minute to prevent abuse.
  • Attribution: When displaying data retrieved via the API, you must include a clear attribution link to Aimade.
  • Prohibited Uses: You may not use the API to create a competing directory, to re-sell the data, or to train a model that replicates the entire Skills Index without a separate commercial agreement.

11. Skills Index Disclaimer

The Skills Index is provided for informational purposes only. While we strive for accuracy and regularly update safety ratings, we make no warranties—express or implied—regarding the completeness, reliability, or suitability of any skill listing. Users are responsible for conducting their own due diligence before integrating any skill into production environments.

12. Third-Party Links and Services

The Service may contain links to third-party websites, tools, or services (including Stripe, Google Analytics, Jetpack, and LiteSpeed Cache). These links are provided for convenience only and do not constitute endorsement. We are not responsible for the content, availability, or any issues related to third-party services.

13. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis. Aimade disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee the accuracy, completeness, or reliability of the Service or its content.

14. Limitation of Liability

In no event will Aimade, its officers, directors, employees, agents, or licensors be liable for any damages or losses arising from or related to your use of the Service, including but not limited to indirect, incidental, special, punitive, or consequential damages, whether in contract, tort, or otherwise. Our liability, if any, will be limited to the amount you paid for the Service in the six months preceding the event giving rise to the claim.

15. Indemnification

You agree to indemnify, defend, and hold harmless Aimade, its officers, directors, employees, agents, and licensors from any claims, demands, or damages arising from or related to:

  • Your breach of these Terms.
  • Your misuse of the Service.
  • Any content or data submitted by you.

16. Termination

We may terminate or suspend your access to the Service at any time, with or without cause, and without prior notice. Upon termination, you will immediately cease using the Service, and your account will be closed. Any outstanding fees will remain payable.

17. Governing Law and Dispute Resolution

These Terms will be governed by and construed in accordance with the laws of the State of California, U.S., without giving effect to any principles of conflicts of law. Any disputes arising from or related to these Terms will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

18. Changes to Terms

We reserve the right to modify these Terms at any time, with or without notice. Your continued use of the Service constitutes your acceptance of any changes to these Terms.
